Acceptable Use Policy

1. This HELIOS Sports, Inc. (“HELIOS,” “we,” “us,” “our”) Acceptable Use Policy (this “AUP”) applies to each user (“you,” “your”) of the HELIOS platform, HELIOS Core™ devices, HELIOS mobile applications and any other products and services offered by HELIOS (collectively, the “Service”).

2. You may use the Service only as expressly permitted in, and subject to the terms and conditions of, the HELIOS terms of service or other written agreement between HELIOS and you (or your organization) that governs our provision of the Service to you and your access to and use of the Service (the “Agreement”). This AUP forms part of the Agreement.

3.  You are responsible for your use of the Service and for all Content you provide or transmit through your use of the Service, as well as for your use of Content provided by us or by others, and for all activity conducted through your HELIOS user account.

3.1. “Content” means all materials and communications in any form and by any means or media, including without limitation comments, reviews, posts, feedback, questions, answers, notes, messages, suggestions, narrative descriptions, text, graphics (including photographs, illustrations, images, drawings, and logos), executable programs, video recordings, and audio recordings, whether created or provided by you or others.

3.2. Your responsibility in connection with the Service and Content includes taking all reasonable precautions to protect your log-in credentials and securing the devices you use to connect to and use the Service, including implementing operating system and application updates. You must notify us promptly if you become aware of any use of your account by anyone else. 

4. In connection with your access to and use of the Service and Content, and except as otherwise expressly agreed by HELIOS in writing, you must not do or attempt to do any of the following:

4.1. Violate any law or regulation, including without limitation laws and regulations regarding privacy, data protection, and intellectual property;

4.2. Violate the terms of any agreement between you or your organization and HELIOS or any third party; 

4.3. Violate the rights of others, including, but not limited to, copyright, trademark, patent, trade secret, moral rights, rights of privacy or publicity, or any other intellectual property or proprietary right;

4.4. Threaten, harass, stalk, abuse, defame, deceive or mislead others;

4.5. Harm or exploit minors in any way;

4.6. Harm or impair anyone else’s use of the Service;

4.7. Misrepresent your affiliation with any person or entity, or access or use the Service as someone other than yourself (except you may use anonymous nicknames, if otherwise in compliance with this AUP);

4.8. Collect personal information about any third party without such party’s express knowledge and consent; 

4.9. Share, distribute, rent, resell, repackage, divert, license, sublicense or transfer the Service or any element of the Service to anyone else, or use the Service in connection with any service bureau, facility management, timeshare, application service provider or similar activity whereby you operate or use the Service for the benefit of a third party or allow any third party to use the Service;

4.10. Provide or retransmit to HELIOS or any third party, or otherwise use the Service in connection with, any Content that is unauthorized or prohibited under the Agreement or that is unauthorized or prohibited by your organization or the owner of such Content, as applicable;

4.11.  Reverse engineer, decompile, disassemble or otherwise attempt to derive the source code of any aspect of the Service, except to the extent permitted under applicable law;

4.12. Copy, frame, reformat, modify, adapt, translate or create derivative works based on the Service;

4.13. Access, download, install or otherwise use the Service in such a manner as to enable unlicensed use of the Service;

4.14. Remove or alter any copyright, trademark or other proprietary notices contained in the Service or in any Content you do not own;

4.15. Attempt to gain unauthorized access to or disrupt, overwhelm, disable or damage the Service, any other user’s account, or any other service, device, data, account or network, including by avoiding any authentication requirements, circumventing any security features, introducing malicious code or other harmful technology, or any other means;

4.16. Engage in any vulnerability or other security testing or benchmarking;

4.17. Make offers to sell or buy products or services or to advance any type of commercial enterprise or financial scheme;

4.18. Use the Service to create any product or service that competes with HELIOS;

4.19. Take any action that could cause the Service, in whole or in part, to become subject to the terms of any license or other agreement to which HELIOS has not expressly agreed to be a party; or

4.20. Assist, encourage, induce or enable others to do any of the foregoing.

5. HELIOS reserves the right in its sole discretion to investigate, determine, and take actions in response to any violations of this AUP or misuse of the Service, although we are under no obligation to do so. We may, for example, investigate and take action to prevent any security threat, fraud, or other illegal, malicious or unauthorized activity in connection with the Service; remove or disable access to any Content that we believe violates this AUP; suspend or terminate your access to and use of the Service; report suspected illegal activity and cooperate with any investigation or prosecution of illegal or prohibited activities.
